Terms and Conditions
Effective Date: 6/1/2026
These Terms and Conditions govern your use of the SD Cleaning Services PDX website and any cleaning services provided by SD Cleaning Services PDX, referred to in these Terms as “SD Cleaning Services PDX,” “we,” “us,” or “our.”
By requesting an estimate, scheduling service, approving a proposal, signing a service agreement, submitting payment, or allowing our team to begin work, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.
1. Services
SD Cleaning Services PDXprovides residential, commercial, janitorial, Airbnb, post-construction, and specialty facility cleaning throughout the Greater Portland Metro Area and surrounding communities.
Services may include cleaning for:

Commercial buildings
-
Offices
-
Banks and financial institutions
-
Auto shops and service centers
-
Gyms and fitness facilities
-
Movie theaters and cinemas
-
Bowling alleys
-
Churches and worship facilities
-
Residential properties
-
Airbnb and short-term rental properties
-
Post-construction properties
-
Other approved buildings and facilities
The specific services provided will be based on the written estimate, proposal, work order, service agreement, or other written communication approved by the customer.
Services not specifically listed in the approved scope of work are not included unless separately authorized.
2. Estimates and Proposals
Estimates are based on the information provided by the customer and our reasonable assessment of the property’s size, condition, layout, occupancy, traffic level, and cleaning requirements.
An estimate may change if:

The property is larger than represented

The condition is substantially different from what was described
-
Additional rooms or areas are requested
-
Excessive dirt, grease, debris, pet hair, waste, or buildup is present
-
Special equipment, products, or labor are required
-
Access to the property is delayed or restricted
-
Hazardous or unsafe conditions are discovered
-
The customer requests additional services
We will make reasonable efforts to notify the customer before performing work that will result in additional charges.
Unless otherwise stated in writing, estimates are valid for 30 days.
3. Scheduling
Cleaning services are scheduled according to availability and the service frequency agreed upon by the customer and SD Cleaning Services.
Scheduled arrival times may be provided as an estimated time or an arrival window. Delays may occur because of traffic, weather, prior appointments, building access problems, emergencies, staffing issues, or other circumstances beyond our reasonable control.
We will make reasonable efforts to notify the customer of significant delays.
4. Customer Access
The customer is responsible for providing safe and timely access to the property at the scheduled service time.
Access may be provided through:

A customer or authorized representative

A key
-
A lockbox
-
A building access card
-
A door code
-
An alarm code
-
Written access instructions
The customer is responsible for ensuring that all access information is accurate and current.
If our team cannot enter the property or begin work because access was not provided, the appointment may be treated as a late cancellation and may be subject to a cancellation or lockout fee.
SD Cleaning Services will take reasonable precautions with keys, access cards, and codes provided by customers. Customers should notify us promptly when access instructions change.
5. Security and Alarm Systems
The customer must provide accurate instructions for activating or deactivating alarm and security systems.
SD Cleaning Services is not responsible for false-alarm charges, security responses, access delays, or related expenses caused by inaccurate, incomplete, or outdated instructions supplied by the customer.
Our employees will not enter restricted, secured, confidential, or employee-only areas unless access has been expressly authorized.
6. Customer Responsibilities
Before service begins, the customer is responsible for:

Removing valuable, fragile, or irreplaceable items
-
Securing cash, jewelry, medication, confidential records, firearms, and sensitive property
-
Removing excessive clutter that prevents surfaces from being cleaned
-
Identifying delicate, damaged, unstable, or unusually valuable items
-
Informing us about known hazards or unsafe conditions
-
Providing working water, electricity, lighting, and climate control when required
-
Securing pets and animals
-
Providing instructions for surfaces that require specialty care
-
Informing us about allergies, chemical sensitivities, or product restrictions
-
Ensuring that the property is legally and safely accessible
Our team is not required to move personal paperwork, confidential records, heavy furniture, machinery, appliances, electronics, tools, vehicle parts, construction materials, or other items that may create a safety or damage risk.
7. Cleaning Products and Equipment
Unless otherwise agreed, SD Cleaning Services may provide the ordinary cleaning products and equipment needed to complete the approved work.
The customer must notify us in advance if:

Specific products must be used

Certain products are prohibited
-
Occupants have allergies or chemical sensitivities
-
A surface requires manufacturer-approved cleaning products
-
The customer prefers environmentally responsible products
If the customer supplies products or equipment, the customer accepts responsibility for their suitability, condition, effectiveness, and manufacturer's instructions.
SD Cleaning Services is not responsible for damage caused by defective, mislabeled, improperly stored, or unsuitable products or equipment supplied by the customer.
8. Service Limitations and Exclusions
Unless specifically included in writing, routine cleaning does not include:

Hazardous-material removal

Mold remediation

Asbestos removal

Lead removal

Biohazard cleanup

Crime-scene cleanup
-
Medical-waste handling
-
Needle or sharp-object removal

Human or animal waste cleanup

Pest removal

Heavy construction debris removal

Demolition work

Mechanical repairs
-
Electrical repairs
-
Plumbing repairs
-
Appliance repair
-
Moving heavy furniture or equipment

Cleaning inaccessible exterior windows

Work requiring ladders, lifts, scaffolding, or specialized access equipment

Removal of permanent stains, discoloration, corrosion, or damage
-
Restoration of worn, damaged, or improperly maintained surfaces
We do not guarantee that every stain, odor, mark, scratch, adhesive, mineral deposit, grease spot, or discoloration can be removed.
9. Hazardous and Unsafe Conditions
The customer must disclose any known hazardous, contaminated, or unsafe conditions before service begins.
Our team may refuse to enter or stop work in any area involving:

Exposed wiring

Gas leaks
-
Active water leaks
-
Structural instability
-
Dangerous animals
-
Illegal activity
-
Unsecured firearms
-
Hazardous chemicals
-
Bodily fluids
-
Human or animal waste
-
Needles or sharp objects
-
Mold or suspected mold
-
Asbestos or suspected asbestos
-
Excessive pests or infestations
-
Heavy smoke contamination
-
Unsafe temperatures
-
Aggressive, threatening, or abusive conduct
If service is stopped because of an undisclosed hazard or unsafe condition, the customer may remain responsible for time, travel, labor, and expenses already incurred.
10. Automotive and Industrial Facilities
For auto shops, service bays, warehouses, and industrial properties, routine cleaning does not include handling or disposal of:

Motor oil

Fuel
-
Antifreeze
-
Solvents
-
Batteries
-
Tires
-
Oil filters
-
Automotive fluids
-
Regulated shop waste
-
Hazardous chemicals
-
Contaminated absorbent materials
SD Cleaning Services will not operate, move, raise, lower, disconnect, repair, or service vehicle lifts, machinery, tools, shop equipment, bay doors, or mechanical systems.
Any specialty degreasing, spill response, or regulated-waste service must be separately approved in writing.
11. Post-Construction Cleaning
Post-construction cleaning may include the removal of ordinary dust, packaging, labels, light debris, and surface residue as described in the approved proposal.
It does not include, unless separately agreed:

Heavy demolition debris

Hazardous construction materials
-
Paint correction
-
Drywall repair
-
Adhesive removal that may damage surfaces

Scraping delicate glass
-
Trade work
-
Contractor repairs
-
Removal of materials requiring licensed disposal
The customer or contractor must confirm that construction work is substantially complete and that the worksite is safe before cleaning begins.
If other contractors continue working after cleaning has started or completed, additional cleaning may require additional charges.
12. Electronics, Equipment, and Instruments
Our team may clean approved exterior surfaces of computers, monitors, kiosks, ATMs, vending machines, exercise machines, theater equipment, bowling equipment, and musical instruments.
Unless expressly authorized, we will not:

Operate equipment

Disconnect equipment
-
Open equipment
-
Move equipment
-
Adjust settings
-
Clean internal components
-
Repair equipment
-
Service mechanical or electrical systems
Customers are responsible for providing cleaning instructions for sensitive or specialized equipment.
13. Pets and Animals
Customers must disclose the presence of pets or animals and secure them before service begins.
SD Cleaning Services is not responsible for pets that escape, become injured, interfere with cleaning, or react negatively when they have not been properly secured.
Our team may refuse to enter or continue working if an animal appears aggressive, uncontrolled, or unsafe.
14. Children and Occupants
Customers are responsible for supervising children, occupants, visitors, employees, and guests during cleaning.
For safety reasons, customers should keep people away from wet floors, cleaning equipment, cords, chemicals, ladders, and active work areas.
15. Payment Terms
Payment terms will be stated in the estimate, proposal, invoice, recurring-service agreement, or other written agreement.
Unless otherwise agreed, payment is due upon completion of service or upon receipt of the invoice.
Accepted payment methods may include:

Credit or debit card

Electronic payment

ACH or bank transfer

Check
-
Other approved payment methods
The customer is responsible for ensuring that payment information is accurate and authorized.
16. Recurring Payments
When a customer authorizes recurring payment, SD Cleaning Services may charge the approved payment method according to the agreed service schedule and amount.
Recurring charges will only be made with the customer’s authorization.
The customer must notify us promptly of changes to payment information or any request to cancel recurring payment authorization.
Stopping automatic payment does not cancel an existing service agreement or eliminate amounts already owed.
17. Late Payments
Past-due balances may be subject to a reasonable late fee, collection expenses, returned-payment charges, or service suspension if these terms are disclosed in the applicable proposal, invoice, or service agreement and permitted by law.
The customer is responsible for reasonable costs incurred to collect unpaid balances, to the extent allowed by applicable law.
18. Deposits
SD Cleaning Services may require a deposit for:

Initial deep cleaning

Large commercial projects
-
Post-construction cleaning
-
Specialty cleaning
-
Multi-day projects
-
Jobs requiring special equipment or supplies
The deposit amount and refund terms will be provided in writing before payment is collected.
19. Cancellations and Rescheduling
Customers should provide at least 24 hours’ notice when canceling or rescheduling a routine appointment.
Large commercial, specialty, Airbnb-turnover, or post-construction projects may require additional notice as stated in the service agreement or proposal.
Appointments canceled with insufficient notice may be subject to a cancellation fee of [insert fee or percentage].
A cancellation or lockout fee may also apply when:

Our team arrives but cannot access the property

The property is not ready for service

Work cannot begin because of unsafe conditions

Another contractor prevents access to the work area

The customer cancels after employees have been assigned or dispatched
Any cancellation fee will be disclosed before it is charged.
20. Cancellation by SD Cleaning Services
We may cancel, suspend, or discontinue service because of:

Unsafe working conditions
-
Harassment, threats, or abusive conduct
-
Repeated access problems
-
Repeated late cancellations
-
Nonpayment
-
Illegal activity
-
Undisclosed hazards
-
Dangerous animals
-
Conditions outside the approved scope of work
-
Circumstances beyond our reasonable control
When practical, we will provide notice and attempt to reschedule or resolve the issue.
21. Satisfaction and Service Concerns
Customers should inspect the completed work as soon as reasonably possible.
Any service concern should be reported within 24 hours of completion and should include a description and, when practical, photographs of the area involved.
We may return to inspect and, when appropriate, re-clean the affected area. The customer must provide reasonable access for corrective service.
Failure to report a concern within the stated period may limit our ability to investigate or correct the issue.
Our satisfaction policy does not provide a guarantee that permanent stains, damage, wear, odor, corrosion, discoloration, or preexisting conditions can be corrected.
22. Damage and Breakage
SD Cleaning Services will use reasonable care while performing services.
The customer must report alleged damage or breakage within 24 hours of discovering it and provide photographs, receipts, repair estimates, or other information reasonably needed to evaluate the claim.
We are not responsible for damage resulting from:

Ordinary wear and tear

Preexisting damage
-
Improper installation
-
Loose fixtures
-
Unstable furniture
-
Deteriorated surfaces
-
Defective materials
-
Manufacturer defects
-
Previously repaired items
-
Improperly secured objects
-
Fragile or valuable items not disclosed in advance
-
Customer-supplied products or equipment
-
Failure to follow manufacturer maintenance instructions
We may choose to repair, replace, reimburse, or refer a covered claim to our insurance provider, depending on the circumstances.
23. Valuable and Fragile Property
The customer should remove or secure jewelry, cash, collectibles, antiques, artwork, heirlooms, fragile decorations, and other unusually valuable items before cleaning begins.
SD Cleaning Services should be informed in writing before service if any item or surface requires specialized handling.
We may decline to clean or move unusually fragile or valuable property.
24. Photographs
SD Cleaning Services may photograph work areas for documentation, estimating, quality control, training, damage verification, or service records.
We will not intentionally photograph confidential records, personal identifying information, security codes, financial information, or private occupants.
Photographs will not be used for advertising or public marketing without the customer’s permission.
25. Keys and Property Access Devices
Keys, access cards, and codes provided to SD Cleaning Services will be used only for authorized service access.
Customers should not label keys with a full property address or other sensitive identifying information.
If an access device is lost because of our negligence, our responsibility will be limited to reasonable replacement or rekeying costs directly related to the affected access device, subject to applicable law and insurance coverage.
26. Confidentiality
Our employees may enter offices, banks, medical-adjacent facilities, business locations, and other properties containing confidential information.
SD Cleaning Services will instruct team members not to inspect, photograph, remove, copy, or disclose confidential materials encountered during ordinary cleaning.
Customers remain responsible for securing confidential documents, passwords, financial records, customer information, health information, keys, cash, and other sensitive property before service.
A separate confidentiality agreement may be required for facilities with heightened security or privacy requirements.
27. Insurance and Licensing
SD Cleaning Services will maintain the business registrations, insurance, and other credentials required for the services it agrees to perform.
Evidence of insurance may be provided to commercial clients upon reasonable request.
The customer is responsible for identifying any facility-specific insurance limits, vendor requirements, background checks, badges, safety training, or documentation required before service begins.
28. Independent Service Provider
SD Cleaning Services is an independent service provider and is not an employee, agent, partner, or joint venturer of the customer.
Nothing in these Terms creates an employment, partnership, franchise, fiduciary, or joint-venture relationship between the parties.
29. Subcontractors and Personnel
SD Cleaning Services may use employees, temporary personnel, or qualified subcontractors to perform services.
All personnel remain subject to our scheduling, training, quality-control, and safety procedures as applicable.
Commercial customers must disclose any advance approval, identification, background check, union, security, or subcontractor restrictions before accepting a proposal.
30. Limitation of Liability
To the fullest extent permitted by law, SD Cleaning Services will not be liable for indirect, incidental, special, punitive, or consequential damages, including lost profits, lost business, lost reservations, loss of use, or reputational harm.
Except where prohibited by law, our total liability arising from a particular cleaning service will not exceed the amount paid by the customer for the service giving rise to the claim or the amount available under applicable insurance coverage, whichever is greater.
Nothing in these Terms excludes liability that cannot legally be excluded or limited.
31. Indemnification
To the extent permitted by law, the customer agrees to indemnify and hold SD Cleaning Services harmless from claims, losses, expenses, or damages arising from:

Undisclosed hazards

Unsafe property conditions
-
Inaccurate access instructions
-
Customer-supplied products or equipment
-
Customer negligence or misconduct
-
Violations of the law by the customer
-
Work requested outside the agreed scope
-
Actions of occupants, guests, employees, contractors, animals, or visitors under the customer’s control
This provision does not require the customer to indemnify SD Cleaning Services for our own unlawful or grossly negligent conduct.
32. Weather, Emergencies, and Events Beyond Our Control
SD Cleaning Services is not responsible for delays or inability to perform caused by events beyond our reasonable control, including:

Severe weather

Wildfire
-
Smoke conditions
-
Flooding
-
Power outages
-
Road closures
-
Government orders
-
Natural disasters
-
Public-health emergencies
-
Labor disruptions
-
Vehicle breakdowns
-
Building emergencies
-
Unsafe travel conditions
When possible, affected appointments will be rescheduled.
33. Website Information
We make reasonable efforts to keep our website information accurate and current. However, service descriptions, pricing examples, service areas, availability, photographs, and website content may change without notice.
Website information does not replace a written estimate, proposal, invoice, or service agreement.
34. Intellectual Property
The SD Cleaning Services name, logo, website design, photographs, graphics, service descriptions, and original written content may not be copied, reproduced, republished, or used for commercial purposes without written permission.
Third-party trademarks and logos remain the property of their respective owners.
35. Links to Third-Party Websites
Our website may contain links to third-party websites or services.
SD Cleaning Services does not control and is not responsible for the availability, security, accuracy, privacy practices, or content of third-party websites.
36. Privacy
Information submitted through our website, estimate forms, email, telephone, text message, or service agreements will be handled according to our Privacy Policy.
Customers should review the Privacy Policy for information about how personal information is collected, used, retained, and shared.
37. Communications
By providing a telephone number or email address, the customer authorizes SD Cleaning Services to communicate regarding estimates, appointments, access, invoices, service updates, and customer-support matters.
Marketing communications will be sent only as permitted by law, and recipients may opt out using the instructions provided.
38. Governing Law
These Terms and any dispute related to our services will be governed by the laws of the State of Oregon, without regard to conflict-of-law principles.
39. Dispute Resolution
Before filing a legal action, the parties agree to make a good-faith effort to resolve the dispute through direct written communication.
A written notice of dispute should describe:

The nature of the dispute

The requested resolution

Supporting documentation
If the dispute cannot be resolved informally, either party may pursue any remedy available under applicable law.
Optional attorney-reviewed provision: The parties may agree in a separate written service agreement to mediation, arbitration, venue, attorney-fee provisions, or other dispute-resolution procedures.
40. Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law.
41. No Waiver
A delay or failure by either party to enforce a provision of these Terms does not waive the right to enforce that provision later.
42. Changes to These Terms
SD Cleaning Services may update these Terms periodically.
The updated version will be posted on our website with a revised effective date. Changes will apply prospectively and will not modify a separately signed agreement unless agreed in writing.
43. Entire Agreement
These Terms, together with the applicable estimate, proposal, invoice, work order, Privacy Policy, and signed service agreement, represent the agreement between SD Cleaning Services and the customer regarding the applicable services.
If a signed service agreement conflicts with these website Terms, the signed service agreement will control for that particular customer or project.
